Public offer agreement

1. General Provisions

1.1. This document is an official offer (public offer) of PACK-TRADE company (FOP Tomchuk A. M.), hereinafter referred to as “Seller”, to conclude a purchase and sale agreement of goods remotely, that means, through the online shop, hereinafter referred to as the “Agreement ", and post a Public offer Agreement (offer) on the official website of the Seller https://pack-trade.com/ (hereinafter referred to as the" Web site ").

1.2. The moment of complete and unconditional acceptance the Seller's offer by the Buyer (acceptance) to conclude an electronic purchase and sale agreement is the fact of payment for the order by the Buyer under the terms of this Agreement within the terms and at the prices indicated on the Seller's website.

 

2. Terms and definitions

2.1. In this offer, unless the context requires otherwise, the terms below have the following meaning:

"Product" - models, accessories, and consumables;

"Online Shop" - according to the Law of Ukraine "On Electronic Commerce", a means of presentation or sale of goods, work or services through the implementation of an electronic agreement;

"Seller" - a company that sells goods presented on the website;

"Buyer" - an individual who has concluded Agreement with the Seller on the terms set out below;

"Order" - selection of single items from the list of goods specified by the Buyer when placing an order and making payment.

 

3. Subject of the agreement

3.1. The Seller undertakes to transfer the Goods to the Buyer's ownership, and the Buyer undertakes to pay and accept the Goods on the terms of this Agreement.

This Agreement regulate the purchase and sale of goods in the Online Shop, including:

- choice of goods by the Buyer in the Online Shop;

- unassisted order checkout by the Buyer in the Online Shop;

- order payment made by the Buyer in the Online Shop;

- processing and delivery of the order to the Buyer ownership under the terms of this Agreement

 

4. Order procedure

4.1 The Buyer, without outside help, places an Order on the Web Site, by adding selected Products to the shopping cart and clicking the "Checkout" button.

4.2 The Buyer can make an inquiry for the purchase and delivery of the Goods that are available and indicated on the Web Site. The Seller sets the minimum order amount for the Goods and point it out when the Buyer makes an order.

4.3. In the case of absence the goods in the warehouse, the Company Sales Manager is obliged to inform the Buyer (by phone, e-mail or other means of communication).

4.4. In the case of absence the goods, the Buyer has the right to replace it with a product of a similar model, reject the goods, and cancel the order.

 

5. Order payment procedure

5.1 The price of the Goods is indicated in national currency and includes all taxes established under Ukrainian Legislation.

5.2. The price of the Goods is indicated on the Web Site. If the price of the ordered Goods is indicated incorrectly, the Seller informs the Buyer about this to confirm the Order with the adjusted price or to cancel the Order.

5.3. The price of the Goods on the Web Site can be changed by the Seller unilaterally. In this case, the price for the Goods that have already been ordered by the Buyer is not subject to change.

5.4. Payment for the Goods is carried out by the Buyer in accordance with the conditions specified on the page https://pack-trade.com/delivery/.

5.5. The Seller has the right to provide discounts on the Products. The types of discounts, the procedure and conditions for their charging can be changed by the Seller unilaterally.

 

6. Delivery terms

6.1. Delivery of goods purchased in the Online Shop is carried out to the warehouses of transport companies, where the orders are issued.

6.2. Together with the order, the Buyer is provided with documents in accordance with the Legislation of Ukraine.

6.3. The cost of the transport companies service "Receiving a return payment" in case of payment on delivery, the Buyer pays additionally, according to the tariffs of transport companies.

 

7. Rights and obligations of the parties

7.1. The seller has the right:

- to terminate the provision of services under this agreement unilaterally in case of violation by the Buyer the terms of this agreement.

7.2. The buyer is obliged:

- timely pay and receive the order under the terms of this agreement

7.3. The buyer has the right:

- place an order at the Online Shop;

- conclude an electronic contract;

- require the Seller to fulfill the terms of this Agreement

 

8. Responsibility of the parties

8.1. The parties are responsible for non-fulfillment or improper fulfillment of the terms of this agreement in the manner prescribed by this agreement and the current legislation of Ukraine.

8.2. The seller is not responsible for:

- the external appearance of the Goods changed by the manufacturer;

- for the content and veracity of the information provided by the Buyer when placing the order;

- for delays and interruptions in the provision of the Services (order processing and delivery of goods) that occur for reasons beyond the control of the Seller;

8.3. In the case of force majeure circumstances, the parties are exempted from fulfilling the terms of this agreement. For the purposes of this agreement, force majeure circumstances mean events that are extraordinary, has unforeseen nature, which exclude or objectively interfere with the implementation of this agreement, the occurrence of which the Parties could not predict and prevent by reasonable means.

8.4. The parties make everything possible to resolve any differences exclusively through negotiations.

 

9. Other conditions

9.1. The online shop reserves the right to unilaterally amend this agreement, pursuant to its preliminary publication on the website https://pack-trade.com/

9.2. The online shop was created to organize a remote way of selling goods via the Internet.

9.3. The buyer is responsible for the veracity of specified information when placing the order. At the same time, when making an acceptance (placing an order and further payment for the goods), the Buyer provides the Seller with his unconditional consent to the collection, processing, storage, using of his personal data, in the understanding of the Law of Ukraine "On the Protection of Personal Data". The information provided by the Buyer is confidential. The Online Shop uses information about the Buyer on the terms set out on the "Privacy Policy" page.

9.4. Payment by the Buyer for the order made in the Online Shop means the Buyer's full agreement with the terms of the purchase and sale agreement (public offer).

9.5. The actual date of the electronic agreement between the parties is the date of acceptance of the conditions, in accordance with Art. 11 of the Law of Ukraine "About Electronic Commerce".

9.6. Using the Online Shop for previewing the goods, as well as for placing an order for the Buyer is free.

 

10. Return of quality products

10.1. Return of goods to the online shop is made in accordance with the current legislation of Ukraine and indicated on the page "Return Policy".

 

11. Duration of the contract

11.1. An electronic agreement is considered concluded from the moment the person who sent the proposal to conclude such an agreement receives a response on the acceptance of this proposal in the manner determined by Part 6 of Article 11 of the Law of Ukraine "On Electronic Commerce".

11.2. Before the expiration of the validity period, this Agreement may be terminated by mutual agreement of the parties until the actual delivery of the goods by a refund.

11.3. The parties have the right to terminate this agreement unilaterally if one of the parties fails to comply with the terms of this Agreement and in cases provided by the current legislation of Ukraine.

 

Please note that the online shop "pack-trade.com" on the official website https://pack-trade.com/ has the right, according to the Legislation of Ukraine, to give the right to use the Internet platform to the individual entrepreneur and legal entities for selling the goods.
